Terms of Service
The contract between you and Wrenspace. Written in plain English wherever we can, formal where we have to be.
The short version
- Sign up, use the app on the plan you chose, and follow the acceptable-use rules.
- Paid plans renew automatically at the price and interval shown when you subscribed until you cancel. You can cancel any time from your account; you keep access until the end of the period you paid for.
- Free trials need a payment card. Unless you cancel before the trial ends, your card is charged for the plan you chose on the date we show you, and the subscription then renews until you cancel.
- Fees are not refundable, except for a duplicate charge or a billing error on our side, or where the law requires a refund. EU and UK consumers should read §6.2.
- AI agents you run act with your credentials and within the permissions you choose. You are responsible for what they do, and you should review their output.
- Agent CLIs and AI providers you connect (Claude Code, OpenAI Codex, MCP servers and others) are governed by their terms with you, not ours.
- You own your content. Cloud Sync is optional and backs up your settings only, end-to-end encrypted, never your source code or agent conversations.
- The app is provided “as is”. Our liability is capped at the greater of what you paid us in the last 12 months or US$100. Nothing here removes consumer rights you have under applicable law.
This summary is for convenience only. The full text below governs.
1. Acceptance of these terms
These Terms of Service (the “Terms”) form a binding agreement between you and B. Dol Technical Consulting, LLC. We show you these Terms when you sign in to the desktop application or the account site and when you check out. By creating a Wrenspace account, signing in, subscribing, or otherwise using the Service (as defined below), you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you are entering into these Terms on behalf of a company or other entity, you represent that you have the authority to bind that entity.
If you do not agree to these Terms, do not use the Service.
2. Who we are
The Service is provided by B. Dol Technical Consulting, LLC, a limited liability company organised in the Commonwealth of Virginia, United States, trading as “Wrenspace” (referred to as “we”, “us”, or “our”). The Service was previously called “Agent Cohort” and “Wrenix”; references to those names in earlier documents, receipts or emails mean Wrenspace. You can reach us at legal@wrenspace.ai.
3. Definitions
- “Service” means the Wrenspace desktop application, the account site at
account.wrenspace.ai, the website atwrenspace.ai, the built-in plugins, and any related APIs, support, and documentation we provide. - “Subscription” means a paid plan that grants access to the Service or particular features for a recurring billing period.
- “Plan” means the tier you select: Solo, Pro, or Team (each billed monthly or yearly), as described on our pricing page, or an Enterprise plan agreed in writing.
- “Workspace” means a Team workspace: a shared space on a Team Plan with an owner, optional admins, and members.
- “You” means the individual or entity using the Service. Where you use the Service on behalf of an entity, “you” means that entity.
- “Third-Party Agent” means any agent CLI, plugin not published by us, MCP server, AI model or model provider, or other software or service you install, configure, or connect through Wrenspace.
- “Output” means code, text, commands, files and other material produced by a Third-Party Agent or an AI model while you use the Service.
4. Eligibility and accounts
- You must be at least 18 years old or the age of legal majority in your jurisdiction, whichever is greater, and able to form a binding contract. The Service is not directed to anyone under 18.
- You sign in with a Google or GitHub account. You must keep the information in your account accurate and current. You are responsible for activity that occurs under your account, including actions taken by AI agents you run (see §9) and, if you administer a Workspace, actions you take for its members.
- You must keep your sign-in credentials secure and notify us immediately at security@wrenspace.ai if you suspect unauthorised use.
- One natural person per account. On a Team Plan, each seated user must use a separate account.
5. Subscriptions, trials, and billing
5.1 Plans and features
Current Plans, feature inclusions, and prices are described on our pricing page and at checkout. The features and limits available on your Plan may change from time to time, with reasonable notice for material reductions (see §18).
5.2 Free trials
We may offer a free trial of some Plans. Before you start a trial we show you the Plan, its price and billing interval (monthly or yearly), the length of the trial, and the date it ends. We also email you these details when the trial starts, and a reminder before it ends.
- A payment card is required. You add a card when you start the trial. Your card is not charged during the trial.
- The trial converts automatically. When the trial ends, the card you added is charged for the Plan you chose, at the price and interval shown when you started, and the Subscription then renews automatically at that interval until you cancel.
- How to cancel. To avoid the charge, cancel before the trial ends: in the desktop app under Settings > Account > Manage subscription, or on the Subscription page of your account at
account.wrenspace.ai. If you cancel during the trial, you keep access until the trial’s end date and are not charged. - What happens after a trial ends without a Subscription. There is no free tier to fall back to. If the trial ends and you have no active Subscription, the desktop app locks until you subscribe, unless you have access under a $0 Plan described in §5.8.
5.3 Fees, taxes, billing, and auto-renewal
- Prices and taxes. Prices are shown in US dollars and exclude tax unless marked “tax included”. Applicable sales tax, VAT or GST is calculated at checkout from your billing address and added to the price. Business customers can enter a VAT or other tax ID at checkout or later in the billing portal.
- Billing intervals. Monthly Plans are charged monthly in advance. Yearly Plans are charged the full annual amount in advance (“$Y / year”); any monthly figure we show for a yearly Plan is only an equivalent for comparison. Team Plans are charged per seat for each billing interval; the total is the number of seats multiplied by the per-seat price for that quantity.
- Automatic renewal. Subscriptions renew automatically at the end of each billing period, for the same interval, and your payment method is charged each time, until you cancel. The renewal price is your current price unless it has changed under §5.4.
- Emails about your Subscription. When a Subscription or trial starts, we email you an acknowledgement with its price, interval, renewal terms and how to cancel. If you live in the EU or the UK, it also restates the withdrawal acknowledgement you confirmed at checkout (see §6.2). We email a reminder before a trial ends and, for yearly Plans, before each renewal. We also email you when you cancel and when a Subscription ends. Invoices and receipts are available in the billing portal.
- Payment processing. Payments are processed by Stripe on our behalf. By providing payment details you authorise us, through Stripe, to charge the fees described in these Terms, including each renewal, to your payment method.
- EU and UK purchases. Until we are registered for VAT in the EU and the UK, we sell Subscriptions in the EU and the UK only to business customers with a valid VAT ID, and we do not offer them to consumers there. For those business purchases the reverse-charge mechanism applies and you account for the VAT. If a purchase by an EU or UK consumer is completed anyway, we may cancel it and refund it.
- Failed payments. If a charge fails, we may retry it. After a short grace period we may suspend your access until the payment is brought current. Team Workspaces follow the timeline in §7.4.
- You are responsible for any tax, withholding, or similar charge assessed on your purchase that is not collected at checkout.
5.4 Price changes
We may change subscription prices. For existing Subscriptions, we will email you at least 30 days’ notice before a new price applies to you. The new price applies from your first renewal on or after the effective date in that notice; until then you keep your current price. If you do not accept the new price, you can cancel before it applies.
5.5 Cancellation
You can cancel your Subscription at any time on the Subscription page of your account at account.wrenspace.ai, in the desktop app under Settings > Account > Manage subscription, or by emailing billing@wrenspace.ai. Cancellation stops the next renewal: you keep access until the end of the period you have paid for, and you are not charged again. You can resume the Subscription before that date. We email you a confirmation when you cancel. We do not refund or pro-rate partial periods except as set out in §6 or where required by law.
5.6 Changing your Plan or seats
- Upgrades take effect immediately. When you move to a higher-priced Plan, the change applies at once and we charge the prorated difference for the rest of your current billing period straight away. We show you the amount before you confirm.
- Changes during a trial. If you change your Plan in the billing portal during a trial, the trial ends and the new Plan is charged immediately.
- Downgrades wait for renewal. A change that lowers the price, such as moving to a lower Plan or reducing seats, takes effect at your next renewal. You keep your current Plan and seats until then, and no refund or credit is given for the rest of the period.
- Adding seats. Seats you add on a Team Plan are available at once, and we charge the prorated amount for the rest of the current billing period straight away.
- Switching between monthly and yearly billing. The billing portal shows before you confirm whether the switch applies now, with a prorated charge, or at your next renewal.
5.7 Promotions and discounts
We may offer promotions, such as a discount on the first payment for people who joined our waitlist, or a limited-time sale price. Each promotion’s conditions (who qualifies, what it covers, and how long it lasts) are shown with the offer. A promotion has no cash value, cannot be combined with another promotion unless we say so, and may be changed or ended for new sign-ups at any time. Ending a promotion does not change a price you have already been charged. A sale price that ends applies to your later renewals only as stated with the offer.
5.8 $0 Plans
We may offer a Plan at $0 for a limited time. You claim it from your account without a payment card, and no Subscription or charge is created. Access under a $0 Plan lasts only while we offer that Plan at $0. When the offer ends, that access ends unless you subscribe to a paid Plan, and we email you when it happens. If you already have a paid Subscription when a Plan is offered at $0, your Subscription continues and is billed at the offered price while the offer lasts.
5.9 Internet connection
The desktop application needs an internet connection to sign in and to confirm your Subscription. If it cannot reach our servers, it keeps working for a limited offline period (currently up to one hour after its last successful check, and never more than four hours), then locks until it can reconnect. Agent CLIs, AI providers, and many plugins need their own internet access.
6. Refunds and the right of withdrawal
6.1 Refunds
Fees are non-refundable, and we do not refund partial billing periods, except as set out in this section or where the law requires a refund (including any non-waivable consumer-protection rights).
- Duplicate charges and billing errors. If you were charged twice for the same thing, or charged because of a billing error on our side, email billing@wrenspace.ai. Once we have verified it, we will refund the affected charge to the original payment method.
- What we do not refund. We do not refund a renewal you forgot to cancel, a trial that converted to a paid Subscription, or an upgrade you no longer want. Each of these is shown to you before it is charged and can be stopped from your account beforehand. If you cancel, you keep access until the end of the period you paid for.
6.2 Right of withdrawal (EU and UK consumers)
If you are a consumer who lives in the European Union or the United Kingdom, you usually have the right to withdraw from a contract for digital content or services within 14 days of entering into it, without giving a reason.
Our Subscriptions give you access immediately. At checkout we ask you to confirm the following before you subscribe: “By subscribing you ask us to give you access immediately, and you acknowledge that you lose your right to cancel and get a refund within 14 days once access begins (EU/UK consumers).” We record that confirmation and restate it in the acknowledgement email we send when your Subscription starts. Once access begins after you have given it, you lose the right of withdrawal to the extent the law allows.
Where the right of withdrawal still applies to you, you can exercise it by sending us a clear statement, for example by email to billing@wrenspace.ai, before the 14-day period ends. You may use the model form below, but you do not have to. If you withdraw, we refund the payments we received from you for that contract without undue delay and no later than 14 days after we receive your statement, using the same payment method, less any proportionate amount the law allows us to keep for the service provided before you withdrew.
6.3 Model withdrawal form
(Complete and return this form only if you wish to withdraw from the contract.)
To: B. Dol Technical Consulting, LLC, trading as Wrenspace, billing@wrenspace.ai
I hereby give notice that I withdraw from my contract for the following service: Wrenspace Subscription (Plan: ________).
Ordered on / received on: ________
Name of consumer: ________
Email address of the Wrenspace account: ________
Address of consumer: ________
Date: ________
6.4 Australia
If you are a consumer in Australia, our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in this §6 limits those guarantees or the remedies they give you (see §21).
7. Team plans
7.1 Who controls a Workspace
A Workspace is created and paid for by its owner. If the owner acts for an organisation, that organisation controls the Workspace: its membership, its shared settings, and the Workspace data we hold (its name, members and their roles, invitations, shared configuration, and shared sources). Your own account, your personal settings, and Your Content on your devices remain yours.
7.2 Roles and admin powers
- Owner. Manages billing and seats, invites people, removes any member, transfers ownership, and can delete the Workspace.
- Admins. Invite people, remove members (but not other admins or the owner), and edit the Workspace’s shared configuration.
- Members. Use the Workspace and have no management rights.
- Shared and enforced settings. The owner and admins can set default settings for members and can enforce certain settings, from a fixed list, that members cannot change while they belong to the Workspace.
- Visibility. Every member can see the names, email addresses, and profile pictures of the other members, and the email addresses of pending invitees.
7.3 Seats and billing
Team Plans are billed to the owner per seat for each billing interval, at the per-seat price for the quantity shown at checkout. Members do not pay separately. Adding and removing seats follows §5.6. An invitation expires after 14 days if it is not accepted.
7.4 Access depends on the owner’s Subscription
Members can use the Workspace only while the owner’s Subscription is in good standing. If the owner’s payment fails:
- the Workspace enters a 14-day grace period with full access, and we warn its members;
- it is then suspended for 14 days: members can no longer use the app through the Workspace, and invitations, member changes, and configuration changes are blocked;
- it is then deleted, and can still be restored for 60 days;
- after that it is permanently deleted, together with its memberships.
If the owner’s Subscription ends (for example, after the owner cancels and the paid period runs out) or a payment dispute is lost, the grace period is skipped: members lose access at once and the Workspace moves straight to suspension.
8. Acceptable use
You agree not to:
- Use the Service to violate any law, regulation, or third party’s rights, including intellectual-property or privacy rights.
- Reverse engineer, decompile, or attempt to derive the source code of any non-open-source component of the Service, except to the extent permitted by applicable law or by the licence of an open-source component (see §12).
- Probe, scan, or test the vulnerability of the Service except in accordance with our vulnerability disclosure policy.
- Use the Service to generate, transmit, or store material that is unlawful, infringing, defamatory, fraudulent, or malicious, or that violates the terms or acceptable-use policies of any Third-Party Agent or service the Service interoperates with.
- Interfere with, disrupt, or impose an unreasonable load on the Service or its infrastructure, including by attempting to bypass our rate limits, license checks, or entitlement gates.
- Use the Service to share accounts with, or get around the usage limits of, a Third-Party Agent in a way its provider’s terms do not allow (see §9.4).
- Share, resell, or sublicense access to the Service except as permitted by your Plan (Team and Enterprise Plans permit seated access by your users).
- Use the Service to develop a competing product or to benchmark for the purpose of producing a competitive analysis without our prior written consent.
- Misrepresent your affiliation, impersonate any person, or use the Service to send unsolicited communications.
We may investigate suspected violations and may suspend or terminate access for serious or repeated breach, with notice where practicable.
9. Autonomous agents and AI output
9.1 Agents act on your behalf
The Service lets AI agents read and change files, run commands, use tools, call other services, and start other agents, sometimes without asking you each time, depending on the permission settings you choose (including any mode that skips approvals) and on features such as loops, missions, schedules, and automatic reviews. Agents act on your instructions, using your credentials, your accounts, and the permission settings you choose. You are responsible for what they do, including:
- commands they run and changes they make to your files, systems, and accounts;
- code they create, change, delete, commit, push, or deploy;
- messages they send and content they publish; and
- charges they incur with third parties, such as AI provider usage, API fees, or cloud resources.
9.2 Protect your work
Review the permissions you give agents. Keep backups and use version control. Run agents in an isolated environment (for example a git worktree, container, or virtual machine) when they work with code or data you cannot afford to lose, and do not give them access to production systems, secrets, or payment methods unless you accept the risk. The Service is not a system of record (see §11).
9.3 AI output
Output comes from AI models run by the providers you choose; we do not supply our own model. Output can be wrong, incomplete, insecure, or similar to material that others own, including code under licences with conditions. Review and test Output before you rely on it, run it, or publish it, and make sure you have the rights you need to use it. As between you and us, we claim no rights in your Output. We make no promise about Output (see §14).
9.4 Provider terms, shared accounts, and usage limits
Your use of each AI provider and agent CLI is governed by that provider’s terms, including any rules on sharing accounts, automated access, and usage limits. The Service can store more than one sign-in for a provider and switch between them. It can also switch automatically when a usage limit is close, but only if you turn automatic switching on in Settings. Automatic switching is off by default; if an earlier version of the app had it on for you, it has been turned off once and stays off until you turn it on. When you turn it on, the Service shows this notice once: “Only turn this on if each provider’s terms allow you to use several accounts this way. You are responsible for following their terms.” Use these features only as each provider’s terms allow. If a provider does not allow you to use several accounts, or to switch accounts to continue past its usage limits, leave automatic switching off and do not use the feature with that provider.
10. Third-party agents, plugins, and services
Wrenspace is, at its core, a workspace for Third-Party Agents. When you install, enable, or connect a Third-Party Agent, plugin, MCP server, or model provider:
- Your use of it is governed by the terms and privacy policy of its provider, not by us.
- You are responsible for having a valid right to use it (including any required subscription, API key, licence, or paid quota).
- You are responsible for the inputs you send to it (prompts, files, code, secrets) and for the outputs you act on. We do not control, endorse, or warrant any Third-Party Agent or its output.
- We may restrict, gate, or remove the ability to install particular plugins where they materially compromise security or violate these Terms.
Plugin review and signing. Third-party plugins that need access beyond the isolated plugin process must carry our counter-signature. Before signing we do a limited review against our publishing guidelines. Signing is not an endorsement, a security audit, or a warranty, and the plugin’s publisher remains responsible for it. We may refuse to sign a plugin, stop signing new versions, or disable or remove a plugin at any time, for example for security reasons.
Downloads. Some optional features download software and AI models from their publishers (for example Python, and speech recognition and text-to-speech models from NVIDIA, OpenAI, hexgrad and others) onto your device when you turn them on. Those are governed by their publishers’ licences, which the in-app notices list (see §12).
11. Your content and your data
You own everything you bring to the Service, including your code, your prompts, your terminal output, your notes, your plugin configuration, and anything else you create or upload (collectively, “Your Content”). Workspace data is controlled as described in §7.1.
You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, process, and display Your Content that reaches us, only as needed to operate, secure, support, and improve the Service. For example, we use it to carry your settings between your devices when you turn on Cloud Sync, to answer a support request, to diagnose a crash report you send us, and to investigate abuse. We may also create and use aggregated or de-identified information about how the Service is used (for example, from telemetry you have turned on) that does not identify you. We do not use Your Content to train AI models or to advertise, and we do not sell it or share it with third parties beyond what is described in our Privacy Policy.
For clarity, the only parts of Your Content that reach us are the ones you explicitly send or enable. Cloud Sync is optional, off by default, and covers settings only: your application preferences, your per-project dock settings, and your project profiles. It does not transmit your source code, the files in your projects, your terminal output, or your agent conversations. The app tries to remove recognised credentials, such as API keys, before upload, and what it transmits is end-to-end encrypted on your device before it reaches us, so we hold ciphertext we cannot read. Prompts and files you send to a Third-Party Agent travel between you and that provider under §10, not through us.
You are responsible for the lawfulness of Your Content and for keeping your own backups of any source code or data you treat as critical. The Service is not a system of record.
12. Intellectual property and open-source software
The Service, including the desktop application, the account site, the website, our APIs, branding, and documentation, is owned by us or our licensors and is protected by intellectual-property and unfair-competition laws.
Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to download and use the Service for your internal business or personal use during the term of your Subscription. All rights not expressly granted are reserved.
Wrenspace includes open-source components that are licensed under their own terms, not these Terms. The list of those components and their licences is in the app (Settings > Behavior > About > Third-party notices) and in the third-party-notices folder of the installed application. Nothing in these Terms restricts rights those licences grant you. In particular:
- The Recorder feature uses FFmpeg programs licensed under the GNU GPL version 3. Their licence, build details, and a written offer to provide their complete source code are in the ffmpeg folder of the installed application. You can request the source code from legal@wrenspace.ai for at least three years after we last distribute the version you have.
- The global hotkey feature uses libuiohook under the GNU LGPL version 3. You may modify it and relink it with the application; its source ships with the app and is available on request.
- Some models that optional features download are licensed under CC BY 4.0 and were converted to ONNX and quantised by third parties; their attributions are in the in-app notices.
“Wrenspace”, the Wrenspace logo, and our other marks, including the former names “Agent Cohort” and “Wrenix”, are our trademarks. You may not use them without our prior written consent, except for nominative fair use (for example, to identify the Service in a true and non-misleading way). Names of third-party products, such as Claude, Claude Code, OpenAI, and Codex, are trademarks of their owners; Wrenspace is independent and is not affiliated with or endorsed by them.
13. Feedback
If you send us suggestions, ideas, bug reports, or other feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use that feedback for any purpose, including improving the Service, without obligation to you. You do not have to send feedback, and you should not include confidential information when you do.
14. Disclaimer of warranties
Except to the extent prohibited by applicable law, the Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free; that defects will be corrected; that the Service is free of viruses or other harmful components; that any plugin we have signed is safe; or that any Output or other output of any Third-Party Agent is accurate, reliable, complete, non-infringing, or fit for any particular purpose.
15. Limitation of liability
To the maximum extent permitted by law, in no event shall we (or our officers, employees, contractors, or licensors) be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenues, lost data, business interruption, loss of goodwill, or cost of substitute services, arising out of or in connection with these Terms or the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability arising out of or in connection with these Terms or the Service in any 12-month period shall not exceed the greater of (a) the fees you paid to us for the Service in the 12 months immediately preceding the event giving rise to the liability, and (b) one hundred United States dollars (US$100).
These limitations apply on any theory of liability, whether in contract, tort (including negligence), strict liability, or otherwise, and form an essential basis of the bargain between you and us. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud, fraudulent misrepresentation, gross negligence, wilful misconduct, or, where required, death or personal injury caused by our negligence.
16. Indemnification
You agree to defend, indemnify, and hold us harmless from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Service in breach of these Terms, (b) Your Content, (c) your use of any Third-Party Agent through the Service, including actions taken by agents you run, or (d) your violation of any law or third-party right. We will give you prompt notice of any claim and let you control the defence and any settlement, provided that any settlement requiring us to admit liability or pay money requires our prior written consent.
17. Term, termination, and account deletion
These Terms apply from the moment you first use the Service and continue until terminated. You may stop using the Service at any time.
We may suspend or terminate your access if (a) you materially breach these Terms and, where the breach is curable, fail to cure it within a reasonable time after notice; (b) we reasonably believe continued access creates a security, legal, or financial risk to us or to other users; (c) you fail to pay fees when due; or (d) we are required to do so by law. Where practicable we will give you advance notice; for urgent threats we may act first and notify after.
17.1 Deleting your account
You can download a copy of your data and delete your account yourself on the account site at account.wrenspace.ai (Data & privacy), or ask us by emailing privacy@wrenspace.ai. Deletion cannot be undone.
- Your Subscription ends at once. Deleting your account cancels any Subscription immediately, and the unused part of the billing period is not refunded or credited. If you want to keep access until the period ends, cancel first (§5.5) and delete your account afterwards. You are signed out on every device.
- Workspaces you own. If you own a Workspace that others use, you must transfer its ownership or delete it before you can delete your account. Your memberships in other Workspaces are removed.
- What is deleted and what is kept. We delete your profile, devices, sessions, subscription records, Cloud Sync data, and the other records linked to your account, and delete your customer record at Stripe. Deletion normally completes at once; if one of our providers is unavailable, it is retried automatically each day until it is complete. We keep a small set of records afterwards, such as a security and billing event log (90 days), a free-trial fraud record (365 days), and records of payment disputes and refunds, and Stripe keeps invoices and charges as tax law requires. The Privacy Policy, §7 and §9.1 lists what is kept, why, and for how long.
When your access ends for any other reason, your right to use the Service ends and we delete data associated with your account as described in the Privacy Policy. Any provisions of these Terms that by their nature should survive termination will do so, including sections 9, 11 to 16, and 20 to 22.
18. Changes to the service
We continue to develop the Service. We may add, modify, or remove features over time. For material reductions in functionality that affect a paid Plan, we will give you reasonable advance notice and, where required by law, a pro-rata refund for any pre-paid period you cannot use.
19. Changes to these terms
We may update these Terms from time to time. For non-material changes (clarifications, formatting, contact details), the updated Terms take effect on posting. For material changes (changes to fees, your obligations, or the limitation of our liability), we will give you at least 30 days’ notice by email or through the Service before they take effect. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance. If you do not accept the updated Terms, you may cancel your Subscription before they take effect. We keep earlier versions of these Terms available; the previous version is linked at the top of this page.
This version. This version applies from 23 September 2026 to accounts created on or after that date. For accounts created before that date, any change in this version that is material under this section applies 30 days after we notify you of it; until then the previous version continues to apply to you for those points.
20. Governing law and disputes
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
You and we agree to first attempt to resolve any dispute informally by emailing legal@wrenspace.ai and giving the other party 30 days to respond. If we cannot resolve the dispute informally, you and we agree that the state and federal courts located in the Commonwealth of Virginia shall have exclusive jurisdiction and venue over any unresolved dispute, and you and we each consent to personal jurisdiction in those courts. To the maximum extent permitted by law, each of you and us waives any right to a trial by jury and any right to participate in a class action.
This Section 20 does not deprive you of any mandatory consumer protections under the law of the country where you live; see Section 21 below.
21. International use, export control, and consumer rights
The Service is provided from the United States. When you use it from outside the United States, your data is processed in the United States and in the other countries described in our Privacy Policy.
Export control and sanctions. The Service includes encryption software and is subject to United States export control and sanctions laws. You represent that you are not located in, organised in, or ordinarily resident in a country or region subject to comprehensive United States sanctions, and that you are not on, or owned or controlled by anyone on, a United States government list of restricted or sanctioned parties. You will not use, export, or re-export the Service in violation of those laws.
If you use the Service as a consumer (rather than for business purposes) and you are resident in a jurisdiction that grants you non-waivable consumer rights, nothing in these Terms limits or excludes those rights. In particular:
- EU / UK / EEA / Switzerland: the consumer-protection laws of your country of residence continue to apply, including any statutory warranty of conformity and, where it applies, your right of withdrawal (see §6.2).
- Australia: our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and to compensation for any other reasonably foreseeable loss or damage.
22. General
- Entire agreement. These Terms, together with the Privacy Policy and any order form or written agreement covering an Enterprise Plan, form the entire agreement between you and us regarding the Service and supersede any prior agreements on the same subject.
